read this contract carefully. This End User License Agreement
(EULA) is a legal agreement between you and AGI, Inc., and
MyBizChek.com. This agreement provides you the right to use
this software subject to the limitations and restrictions
contained herein.
Ownership: BizChek
is a software/Webware product protected by copyright laws
and related intellectual property laws. The product is licensed
for your use only. The product is not sold. It cannot be leased,
assigned or sublet in whole or in part.
License Restrictions: You may not modify, reverse engineer,
or modify the software source or object code, decompile or
otherwise disassemble this software program in any way or
form. Further, you agree not to provide a copy of this software
to others.
Disclaimer of Warranty: You use this software at your own
risk and on an ìas isî basis. No oral or written
information or advice provided by AGI, Inc. or its representatives,
distributors, agents or employees shall create a warranty
or in any way increase the scope of any warranty provided
herein. AGI, Inc., does not warrant that the software is error-free,
nor does AGI, Inc. warrant this Software against activities
and events - power failure, disruptions or other interruptions.
Limitation of Liability:
AGI ,Inc., its rep sentatives, suppliers, distributors, agents
or employees shall not be liable to you, your representatives
or any third party for any indirect, special, incidental,
or consequential damages, including your knowledge of this
product, the subjects of the information provided or your
ability to use this software. Further, AGI, Inc. shall not
be liable for any loss of business, loss of profits or loss
of opportunity you believe has been even partially created
by the use of this software.
AGI, Incís total liability to you for actual damages
for any cause whatsoever will be limited to the amount you
paid for the software for this limited use agreement.
Basis for Our Relationship: the Warranty Disclaimer and Limited
Liability set forth above create the basis for AGI, Inc.,
and you to enter into this agreement. AGI, Inc., can not provide
this software without these limitations. This Warranty Disclaimer
and Limited Liability inure to the benefit of AGI, Inc., licensors.
Governing Law: This
EULA shall be governed by the laws of the State of Washington.
No AGI, Inc., dealer, representative, service provider or
employee is authorized to make any amendments to the agreement.
If any provision of the Agreement shall
be held by a court of competent jurisdiction to be contrary
to law, that provision will be enforced to the maximum extent
permissible. The remaining provisions of this EULA will remain
in full force and effect.
Pre-release or Beta Versions:
If you are using a pre-release or Beta version of this product,
you acknowledge that you are using a pre-release or Beta version
and that the product does not constitute a final product from
AGI, Inc., and may contain bugs, errors and other problems
that could cause system or other failures or data loss. AGI,
Inc., provides this software ìas isî and disclaims
any warranty or liability obligations to you of any kind.
